Terms of Service
These terms govern the provision of professional business and consulting services by Cosina Trattoria Pty Ltd to our clients across Melbourne VIC and greater Victoria.
1. Agreement
By engaging Cosina Trattoria Pty Ltd (ABN 86 703 294 866) for any professional business or consulting service, you agree to be bound by these Terms of Service. These terms apply to all services we provide, including written proposals, engagement letters and statements of work issued by us, unless expressly varied in writing and signed by an authorised representative of Cosina Trattoria Pty Ltd.
2. Scope of Services
We provide professional business and consulting services, including business advisory, operational review, planning support and related consultancy work. The specific scope, deliverables, timeline and fees applicable to your engagement will be set out in a written proposal or engagement letter provided to you before work commences. Any services outside that documented scope will require a written variation and may attract additional fees.
3. Fees, Invoicing and Payment
Our fees are stated in Australian dollars and are exclusive of GST unless otherwise stated in writing. Invoices are payable within the period stated on the invoice. We may require a deposit or progress payments for larger engagements. Late payment may attract interest at the rate specified in your engagement letter, and we reserve the right to suspend or terminate services where invoices remain unpaid after written notice.
4. Client Responsibilities
To enable us to deliver our services effectively, you agree to provide accurate, complete and timely information, respond to reasonable requests, make relevant personnel available where agreed, and promptly notify us of any changes to your circumstances that may affect the engagement. We rely on the accuracy of information you provide and are not responsible for outcomes arising from incomplete or inaccurate information supplied by you.
5. Professional Advice and Limitations
Our advice and deliverables are prepared solely for your use in accordance with the agreed scope, based on information available at the time of preparation. Advice is not to be relied upon by third parties without our prior written consent. Where our services touch on accounting, taxation or legal matters, our work does not substitute for advice from a licensed accountant, registered tax agent or qualified legal practitioner, and we recommend you obtain such specialist advice where appropriate.
6. Intellectual Property
All methodologies, frameworks, templates, tools and pre-existing materials used or created by us remain our intellectual property. You receive a perpetual, non-exclusive licence to use deliverables prepared for you for your own internal business purposes. You retain ownership of materials you provide to us. Full payment of all invoiced fees is a condition of your licence to use our deliverables.
7. Confidentiality
Both parties agree to keep confidential all non-public information disclosed during the engagement, other than information that is publicly available, already known to the receiving party, independently developed, or required to be disclosed by law or a professional body. Confidentiality obligations survive the completion or termination of the engagement.
8. Privacy
We handle personal information in accordance with the Privacy Act 1988 (Cth) and our Privacy Policy. Information you provide is used only for the purpose of delivering our services and related purposes disclosed to you.
9. Limitation of Liability
To the maximum extent permitted by law, our liability arising from or in connection with the services is limited to the fees paid by you for the specific service giving rise to the claim. We are not liable for indirect, consequential or special loss, including loss of profit, revenue or business opportunity. Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law that cannot lawfully be excluded.
10. Australian Consumer Law
Our services come with guarantees that cannot be excluded under the Australian Consumer Law, as set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth). You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. These terms must be read consistently with those statutory guarantees.
11. Termination
Either party may terminate an engagement with written notice in accordance with the notice period stated in the engagement letter. You remain liable for fees for work performed up to the date of termination and for reasonable costs of transitioning or handover where applicable. Clauses relating to intellectual property, confidentiality, liability and dispute resolution survive termination.
12. Dispute Resolution
If a dispute arises, both parties agree to first attempt to resolve it in good faith through direct discussion. If the dispute is not resolved within 30 days, either party may refer the matter to mediation in Melbourne VIC before commencing court proceedings, except where urgent injunctive relief is required.
13. Governing Law
These Terms of Service are governed by the laws of Victoria, Australia, and both parties submit to the jurisdiction of the courts and tribunals of Victoria.
14. Amendments
We may update these Terms of Service from time to time. The current version will always be published on this page, and the version in force is the one published at the date your engagement commences, unless a later version is agreed in writing.
